Terms of Use

Agreement

These terms apply when you download, install or use the FileOctopus app or buy a PRO license. FileOctopus is made and sold by Max Luong, an individual developer based in Vietnam (“we”, “us”). By using FileOctopus you agree to these terms. If you do not agree, do not use the app. Contact: support@fileoctopus.com.

Your license

We grant you a personal, non-exclusive, non-transferable license to use FileOctopus on Macs you own or control, for personal or work use, under these terms. FileOctopus remains ours; you get a license to use it, not ownership of it.

Purchases and prices

PRO is sold through Lemon Squeezy, which acts as the merchant of record and is the seller you pay. Lemon Squeezy’s buyer terms also apply to your purchase. Prices are shown at checkout, where taxes are added or included as your country requires. Launch offers may be limited in time or number; buying at a launch price gives the same PRO license as the standard price, and starting a trial does not reserve a price.

Refunds

If FileOctopus PRO isn’t right for you, ask for a refund within 30 days of your purchase and you will get your money back, no questions asked. Email support@fileoctopus.com with your order number or the email address you used at checkout, or use the link in your Lemon Squeezy receipt. Refunds go back to the original payment method through Lemon Squeezy. When a purchase is refunded, its license key is disabled and the app returns to Free; your files, workspaces and saved searches are kept. This does not limit any withdrawal or refund rights you have under the consumer law of your country.

Updates

A PRO license includes every released 1.x version of FileOctopus. A future major version (such as 2.0) may be a paid upgrade; buying it is optional, and your 1.x license keeps working. FileOctopus can check for and install updates with the Sparkle framework; it asks before turning on automatic checks. We may add, change or remove features in updates, and we will describe significant changes in the release notes.

Acceptable use

You may not:

If you break these rules, we may disable the license concerned after telling you why.

Your files and backups

FileOctopus works on files that belong to you, using the permissions you give it. It is built to be careful: it previews batch renames, keeps both files when names clash unless you choose Replace, verifies copies before removing originals on other disks, and offers Undo where an operation can be safely reversed. No software can rule out every failure, though, so keep regular backups of anything important, for example with Time Machine. You are responsible for the actions you choose to perform.

Privacy

Our Privacy Policy explains what the app, the website and purchases send, and why.

Disclaimer

FileOctopus is provided “as is” and “as available”. To the extent the law allows, we make no warranties beyond those stated in these terms, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement, and we do not promise that the app will be free of errors or work without interruption.

Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special or consequential losses, including lost data, lost profits or business interruption, arising from your use of FileOctopus. Our total liability for any claim is limited to the amount you paid for FileOctopus in the 12 months before the claim, or US$25 if you paid nothing. Nothing in these terms limits liability that cannot be limited by law, such as for death or personal injury caused by negligence, or for fraud.

Your rights as a consumer

If you are a consumer, you keep the protections that the law of the country where you live gives you and that cannot be waived by contract. Nothing in these terms takes those rights away.

Trademarks

FileOctopus and its octopus icon are our trademarks. Finder, macOS and Mac are trademarks of Apple Inc. FileOctopus is an independent app and is not affiliated with, endorsed by or sponsored by Apple.

Ending these terms

You can stop using FileOctopus at any time by deleting it. These terms end automatically if you seriously break them; after that you must stop using the app. The sections on refunds, the disclaimer, limitation of liability and governing law continue to apply.

Governing law and disputes

These terms are governed by the laws of Vietnam. Before taking any formal step, please email us so we can try to solve the problem together. If that fails, disputes go to the competent courts of Vietnam. If you are a consumer, you may also bring a claim in the courts of the country where you live, and its mandatory consumer protections still apply.

Changes to these terms

We may update these terms, for example when we add features or when the law changes. We will update the effective date above and announce significant changes on this website or in the release notes before they apply. A change never removes a PRO license you have already bought.
